A minority investment involves an investment, generally by a private equity or venture capital fund, in which the investor acquires less than a majority of the voting securities of the company. The considerations and issues involved in a non-control, minority investment are different from those involved in a buyout or other private equity transaction where the investor acquires a controlling equity position in the target company.
